Welcome to SmithAssist BPO. These Terms & Conditions (“Terms”) govern your use of our website, services, and any related communications. By accessing or using our services, you agree to comply with and be bound by these Terms.
1. Services
SmithAssist BPO provides virtual assistant and outsourcing services (“Services”) to businesses and individuals. Service scope, timelines, and fees will be outlined in a separate written agreement or proposal.
2. Eligibility
To use our Services, you must:

Have the authority to enter into a binding agreement for yourself or your business

Provide accurate and complete information during onboarding
3. Payment & Billing

Fees for Services are outlined in your agreement or the pricing plan you select.

Payments are due in advance or as otherwise specified in your invoice.

Late payments may result in service suspension until payment is received.

All fees are non-refundable unless otherwise stated in writing.
4. Client Responsibilities
You agree to:

Provide necessary access, information, and resources for us to deliver the Services

Respond to communications in a timely manner to avoid delays

Ensure that all work assigned complies with applicable laws
5. Confidentiality
We respect your business and data privacy. Both parties agree to:

Keep all non-public business information confidential

Not disclose such information to third parties without prior written consent
This obligation survives the termination of our working relationship.
6. Government-Mandated Benefits for Our Team
All SmithAssist virtual assistants are provided with above-market pay and mandatory government benefits, including healthcare, social security, and paid leave. This commitment is part of our ethical outsourcing standards.
7. Intellectual Property

Any materials or content provided by you remain your property.

Work products created by SmithAssist during the engagement become your property once full payment is received, unless otherwise agreed.

Our internal processes, tools, and templates remain the intellectual property of SmithAssist.
8. Limitation of Liability
To the fullest extent permitted by law:

SmithAssist will not be liable for any indirect, incidental, or consequential damages arising from the use of our Services.

Our total liability for any claim shall not exceed the total amount you paid to us for the Services during the three months preceding the claim.
9. Termination
Either party may terminate the Services with written notice as outlined in your agreement. Upon termination, you agree to pay for all work completed up to the termination date.
10. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. Updates will be posted on our website with a revised effective date.
11. Governing Law
These Terms are governed by and interpreted in accordance with the laws, without regard to conflict of law principles.
